Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "User") and ANCL Labs LLC, a Florida limited liability company ("ANCL Labs," "we," "us"), governing your use of the Kestrel AIO desktop application, the kestrel-aio.com website, license services, and any related services (collectively, the "Software").

By purchasing a license, creating an account, installing, or using the Software, you agree to these Terms. If you do not agree, do not use the Software.

1. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Software. By using the Software, you represent that you meet these requirements.

2. License Grant

Subject to these Terms and payment of applicable fees, ANCL Labs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your personal use, during your active subscription period.

You may not:

  • Share, resell, sublicense, rent, or transfer your license key or account;
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software;
  • Circumvent, disable, or interfere with license enforcement, update mechanisms, or security features;
  • Use the Software to develop a competing product;
  • Use the Software in connection with stolen payment methods, fraud, or any unlawful activity.

Violation of this section results in immediate license termination without refund.

3. Subscriptions, Billing, and Auto-Renewal

3.1 Plans. Current subscription plans and pricing are listed at kestrel-aio.com. Prices may change; changes apply at your next renewal, not mid-term.

3.2 Auto-renewal. Subscriptions renew automatically — monthly plans each month, annual plans each year — and your payment method on file will be charged at the then-current rate until you cancel. This is disclosed here and at checkout in accordance with Florida's Automatic Renewal Law (Fla. Stat. § 501.165).

3.3 Cancellation. You may cancel at any time through your account billing portal (powered by Stripe). Cancellation takes effect at the end of your current billing period; you retain access until then. We do not provide prorated refunds for partial periods.

3.4 Payment processing. Payments are processed by Stripe, Inc. ANCL Labs does not store your full payment card details. Your use of Stripe's services is subject to Stripe's own terms and privacy policy.

3.5 Failed payments. If a renewal payment fails, we may retry the charge and/or suspend your license until payment succeeds.

4. Refund Policy

All sales are final. Because the Software is delivered digitally and license keys are activated immediately, we do not offer refunds, except (a) where required by applicable law, or (b) at our sole discretion in cases of verified technical failure attributable to the Software that our support cannot resolve.

Initiating a chargeback or payment dispute in place of contacting support constitutes a violation of these Terms and results in permanent license termination and a ban from future purchases.

5. No Guarantee of Results

The Software automates checkout and reservation workflows. It does not and cannot guarantee any outcome. You acknowledge and agree that:

  • Successful checkouts, purchases, or reservations are never guaranteed. Outcomes depend on factors outside our control, including product availability, retailer infrastructure, network conditions, proxy quality, bot-protection systems, and demand.
  • Retailers may cancel orders, decline payments, ban accounts, or block traffic at their discretion. ANCL Labs is not responsible for canceled orders, declined transactions, lost retailer accounts, banned IP addresses, or forfeited reservation opportunities.
  • Past performance (including checkout speeds or success statistics published anywhere) does not guarantee future results.
  • You are solely responsible for supplying and maintaining your own accounts, payment methods, proxies, and third-party services used with the Software.

6. Third-Party Websites and Retailer Terms

The Software interacts with third-party websites and services ("Retailers") that ANCL Labs does not control and is not affiliated with, sponsored by, or endorsed by. All retailer names and trademarks belong to their respective owners and are used only to identify compatibility.

You acknowledge that use of automation software may violate the terms of service of some Retailers. You are solely responsible for reviewing and complying with the terms of any Retailer you interact with through the Software. You assume all risk arising from your use of the Software with any Retailer, including account suspension, order cancellation, and loss of access.

7. Acceptable Use

You agree not to use the Software to:

  • Violate any applicable law or regulation, including laws governing fraud, computer access, and consumer transactions;
  • Make purchases using payment methods or identities you are not authorized to use;
  • Harass, defraud, or harm any person;
  • Probe, scan, or attack the systems of ANCL Labs or any third party beyond the Software's intended checkout-automation function;
  • Redistribute data, feeds, or outputs of the Software commercially without our written consent.

8. Software Updates and Availability

The Software may automatically download and install updates. We may add, modify, or remove features (including support for specific Retailer sites) at any time. Retailer sites change frequently; module functionality may break without notice, and restoration timelines are not guaranteed. Continued module support for any specific Retailer is not a term of your subscription.

We may suspend the Software or services for maintenance, security, or legal reasons.

9. Telemetry and Data

The Software collects limited operational telemetry (such as task outcomes, error events, and version information) to operate licensing, improve reliability, and provide support, as described in our Privacy Policy at kestrel-aio.com/privacy.

10. Intellectual Property

The Software, including all code, design, branding, and documentation, is owned by ANCL Labs and protected by intellectual-property laws. These Terms grant you a license to use the Software, not any ownership interest. Feedback you submit may be used by ANCL Labs without restriction or compensation.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANCL LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR EFFECTIVE AT COMPLETING ANY CHECKOUT OR RESERVATION.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) ANCL LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, CANCELED ORDERS, BANNED ACCOUNTS, OR MISSED PURCHASES OR RESERVATIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) ANCL LABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ANCL LABS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the fullest extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless ANCL Labs and its members, officers, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any law or the rights or terms of any third party, including any Retailer; or (d) transactions you conduct or attempt through the Software.

14. Termination

We may suspend or terminate your license immediately if you breach these Terms, engage in fraud or chargebacks, or if required by law. Upon termination, your right to use the Software ends and you must uninstall it. Sections 4–5 and 10–17 survive termination.

15. Dispute Resolution; Arbitration; Class Waiver

Please read this section carefully — it affects your legal rights.

15.1 Informal resolution first. Before filing any claim, you agree to contact us at support@kestrel-aio.com and attempt in good faith to resolve the dispute for 30 days.

15.2 Binding arbitration. Any dispute arising out of or relating to these Terms or the Software that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Miami-Dade County, Florida, or conducted remotely. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court.

15.3 Class action waiver. All disputes shall be brought on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

15.4 Opt-out. You may opt out of arbitration by emailing support@kestrel-aio.com within 30 days of first accepting these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to Section 15, exclusive venue for any permitted court proceeding is the state or federal courts located in Miami-Dade County, Florida.

17. General

  • Changes to Terms. We may update these Terms; material changes will be posted at kestrel-aio.com/terms with an updated effective date, and continued use after changes constitutes acceptance.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and ANCL Labs regarding the Software.
  • Severability. If any provision is unenforceable, the remainder stays in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Export. You may not use the Software in violation of U.S. export or sanctions laws.
